What We’re Looking For:

Iridium Communications is seeking an experienced corporate and securities lawyer to join its Legal team. The Legal Executive Director - Corporate & Securities will report to the Vice President, Legal and advise on a broad range of corporate, transactional and securities matters. The role requires operating independently in a fast-paced environment and working proactively with various teams across the organization, including senior management, business leaders, finance, accounting, investor relations, human resources, and communications.

What You’ll Do:

  • Play an integral role in preparing public disclosures, particularly SEC reporting (e.g., 10-K, 10-Q, 8-K reports, proxy statements, registration statements and Section 16 filings), in collaboration with the finance team and senior management
  • Support the Board of Directors, including preparation of Board and committee materials
  • Advise on corporate governance matters, including staying current on corporate governance developments and the oversight of corporate policies
  • Advise on and facilitate corporate transactions, including financings, mergers & acquisitions, investments, joint ventures, and ensure compliance with existing debt agreements
  • Manage the preparation of the annual proxy statement and the conduct of the annual meeting
  • Develop and manage sustainability disclosures, including staying current on market trends and emerging regulations
  • Review and advise on corporate and marketing communications, product liability, insurance and real estate matters
  • Provide legal support for various corporate and commercial transactions, offering timely and strategic advice
  • Foster strong partnerships with internal stakeholders and executive teams to resolve complex issues and drive successful outcomes
  • Be accountable for mitigating significant risks and applying lessons learned
  • Serve as a valuable resource to fellow legal team members, sharing knowledge and expertise
  • Direct and manage outside counsel and consultants on advice, research, filings, disclosures, and other projects as needed

What You’ll Need to Succeed:

  • Juris Doctor (J.D.) and membership in one state bar or equivalent. Once hired, the position will require either admission in Virginia or admission as Virginia corporate counsel
  • 7+ years of legal experience (including at least several years at a top-tier law firm)
  • Significant experience with securities, SEC filings and reporting, M&A, corporate governance, and related public company matters.
  • Outstanding legal and business judgment and strong analytical skills, even in ambiguous situations
  • Excellent academic credentials
  • Financial literacy; familiarity with financial statements
  • Strategic thinking to help the business to mitigate potential risks
  • Ability to prioritize appropriately and easily switch gears without sacrificing quality of work and maintain a high level of professionalism, integrity, and discretion in handling confidential information, and can work well with people at all levels inside and outside Iridium
  • Excellent leadership qualities and the ability to promote collaboration across multiple departments
  • Be an effective communicator who can lead discussions and confidently respond to challenges that face the company
  • The ability to identify and evaluate issues and put ideas and solutions into motion
  • Must possess a strategic mindset, good judgment, and strong decision-making ability
  • Continuously looks for ways to enhance and improve current processes and procedures

Things That Would be Great if You Brought to the Table:

  • A combination of corporate law experience at a top-tier law firm and in-house at a public company
  • Familiarity and experience with one or more of: sustainability reporting, marketing and corporate communications reviews, product liability, executive compensation, insurance and real estate matters
  • Experience in the satellite or technology sector
  • Demonstrated proficiency in working closely with and advising senior business leadership
  • Demonstrated pattern of roles with increasing responsibility

We’ll also need you to:

  • Be able to work in the office at least 3 or more days a week to foster collaboration with the team and stakeholders
  • Be able to travel up to 10%

Work Environment:

This position primarily works in an office setting and is largely sedentary with the majority of the position working with a computer. The role typically requires the use of basic office equipment such as a phone, video, computer, keyboard, mouse, and printer.
